Decentralized management

The diversity and geographic scope of our activities has led the Group to adopt decentralized operating management. With a business and market-driven rationale, our Group comprises 4 business groups which are in turn made up of divisions corresponding to clearly defined markets. The mission of our division managers is to run and develop their activities in the framework of the Group’s strategic orientations. Beyond legal structures, the Group’s customer-focused organization favors implementation of consistent policies within each activity.


Implement best Corporate Governance practices

Since May 3, 2005, the Company has been organized as a Limited Liability Company (Société Anonyme) with a Board of Directors. On that date, it also opted to dissociate the duties of Chairman of the Board of Directors and of Chief Executive Officer, performed by Mr. Aimery Langlois-Meurinne and Mr. Gérard Buffière, respectively.
This legal type keeps supervisory and management bodies separate and enables the Company to continue applying best practices in terms of Corporate Governance, while simplifying the structure and internal workings of its management bodies.

The AFEP-MEDEF Corporate Governance Code, with the addition of the new recommendations of October 6, 2008 on the compensation of executive corporate officers of stock market-listed companies, is used by the Company as a reference in drawing up the report provided for in article L. 225-37 of the French Code of Commerce, pursuant to the law of July 3, 2008 transposing the European directive 2006/46/EC of June 14, 2006.
