The Position
Legal CounselJob Summary
Context:
The legal counsel aims at assisting EMEA Business Legal counsels on all areas related to Imerys business needs.
The legal counsel provides, with the rest of the team, a legal assistance to the Group's Business Areas.
Scope: EMEA
Nature of customers: Internal : all entities of the Group
Travel : rarely
Responsibilities:
The missions for the junior legal counsel are to assist Senior Legal Counsels and Legal Managers of the EMEA Business Legal team or directly the business areas and the functions on all legal matters (except labour law and tax), i.e.:
Commercial contracts (prepare templates, draft, review and negotiate) - in all domains, including, sales and marketing, purchasing, S&T in collaboration with the IP team, real estate, etc
Claims and disputes:
Manage legal actions (court, arbitration, mediation) with external lawyers
Contribute to the settlement of high amount claims
Strategic advice on operational matters involving regulatory authorities (e.g. environment, mining and permits)
M&A in collaboration with the M&A legal team (build data rooms, assist in due diligence phase)
Antitrust & Compliance (anti-bribery, trade restrictions, GDPR, etc) :
Roll out the compliance programs designed by the Compliance legal team
Provide user-friendly, clear and concise legal guidance
Corporate:
manage company secretarial work (annual general assembly, D&O appointments, delegations of authority/POAs) and support internal reorganisation projects in collaboration with the Corporate legal team
Insurance: manage insured losses in collaboration with the Insurance legal team
Legal Operations:
populate the contract management tool
share documentation with the legal team
work on contract automation.
Profile:
Education:
3rd cycle of business law, international law or contract law (DJCE, Master, LLM) from a recognized university
Ideally, foreign legal education and / or business school or education in management and finance
Experience:
Minimum 2 years of a first successful experience in a business law firm or within an international industrial group
Experience working within contract review
Long trips abroad / multiculturalism/ be used to evolving in an international environment
Technical skills:
Knowledge of Google suit would be an advantage, but not essential
Language:
Fluent in French and English imperative, ability to write contracts directly in French and English
Third working language strongly recommended (e.g. German, Spanish or Italian)
