The PositionAssistant Manager - Secretarial & Legal
Company Secretarial Tasks:
Well conversant with MCA-21, i.e. online filing, online inspection. Thorough knowledge of Secretarial Standards issued by ICSI. Keep track of latest developments & amendments in Corporate laws and prepare suitable plans as per the applicability to ensure timely compliances
Managing all the corporate filings under Companies Act, FEMA, Employee Welfare Act, POSH and any other compliance which is applicable on us Audits of Companies for the purpose of Compliance Certificate & Secretarial Audit.
Timely Filing of Forms for appointment, Resignation, KYC of Directors and maintaining relevant registers as per Companies Act and CS guidelines
Preparation of Directors Report and Annual Return, Filing of Balance Sheet and Profit & Loss Account in XBRL.
Appointment of Managerial Persons and all the matters related to managerial remuneration.
Drafting of Agenda, Notice and Resolution for the Board meetings, Committee meetings and for AGM (including Special Notices).
Convening and Drafting Minutes of Board Meetings, committee meetings and Shareholders Meetings.
Preparation of Search Reports, Due Diligence Report and Statutory Report etc etc.
Preparation and filling of various forms to ROC / MCA.
Preparation of Statutory Registers, Attendance Registers, Minutes Book and all other Secretarial records.
Preparation of responses in reply to all statutory notices to company.
Representing company to various authorities on behalf of company - PF, Labour office etc.
Assist with CSR compliance (Work together with CSR team on related projects and support in CSR related correspondence reports). Preparation of CSR budget, annual CSR report, Keep track of funds utilization etc.
Legal Work To Assist in Drafting of Various types of Agreements & Deeds.
Assist M&A team with Legal Due Diligence activity on need basis.
Support Purchase & Sales/Commercial team on legal clauses and advise during contract framing to mitigate any potential risks
Preparation of Intercompany agreements
Support Finance & Treasury functions wrt FEMA compliance during FDI/ECB/Legal entity restructuring etc.
Support Supply chain function wrt customs matters on need basis
Support Industrial Operations team on timely updation of Occupier and change of Directors with relevant authorities as per local requirements of the state where our sites operate as per Factories Act
Co-ordination with Plant Managers for timely amendment & renewal of Factory Licenses, Consent from Pollution Control Board & Other Authorities
Co-ordination with Plant Managers for timely submission of applicable returns under Factories Act, Pollution Control Act, Environmental statement etc
Work with the project team for obtaining new licences, consents, permissoin etc for any new Projects being setup
Any other activity as may be required to ensure compliances
