The Position

Job Summary

On March 28, 2024, Imerys Group (www.imerys.com) published a press release announcing it has entered into exclusive negotiations with Flacks Group  for the contemplated divestment of its assets producing kaolin, ground calcium carbonate (“GCC”), precipitated calcium carbonate (“PCC”), and talc, which primarily serve the paper markets in North Americas, South America, Asia and Europe.

The future company formed by all these industrial sites, kaolin mine, port and logistic hubs is foreseen to start its operation under a new brand in the course of 2024. It will offer mineral solutions for industries worldwide. Currently serving mostly the paper and board markets , the new company will use its global footprint, unique assets and longstanding know-how to develop new business opportunities and foster innovation. Sustainability is a core value of this company.

With an annual revenue of around 350 million euros in 2023, this activity will employ about 1000 employees. The Company needs to reinforce the existing teams to operate as a standalone organization but also to meet its ambitious development plans.

Responsibilities

Management of administrative and judicial processes related to environmental, civil, criminal, labor and tax areas; Legal advice to internal customers (other areas of the company); Analysis and drafting of contracts. Attendance of legal consultations and preparation of legal opinions. Dealing and addressing notifications. Administrative work (control of invoices, monitoring of expenses, review of external reports, etc.). Support on management of real estate, mining and environmental cases.

Actitvities

  • Prepare and / or revise Contracts, additive terms and contractual terminations, with service providers; suppliers and other partner;
  • Provide the answers to letters and notifications;
  • Perform the management of all administrative and judicial processes involving environmental, civil, criminal, labor and tax areas, allocate the information to the respective controls, prepare and review spreadsheets and contingency reports;
  • Prepare and/or review petitions/manifestations/objections on the different areas of law, with emphasis on civil, environmental and labor areas;
  • Realizar orientação jurídica às áreas internas da(s) empresa(s) com o objetivo de esclarecer dúvidas quanto à matéria de direito;
  • Provide legal guidance to the internal areas of the company (s) in order to clarify doubts as to the legal matter;
  • Support the Mining Area for obtaining and / or renewing acts with the ANM;
  • Provide support to the Tax Area to meet Federal and State Revenue inspections;
  • Prepare corporate documents and monitor the registration with the Board of Trade;
  • Represent before the Federal, State and Municipal Public Offices, Municipalities, Mixed Economy Societies, Foundations, Private Companies, etc.;
  • Requires travel to attend lawsuits, administrative procedures, technical matters and / or matters of interest of the company (s);
  • Development and maintenance of database of the Legal Department;
  • Support the Area Legal Manager.

Experiences

Law degree, with at least 05 years of training and practical experience, preferentially at Companies, registration with the OAB.

Skills:

  • Informatics, with emphasis on text editors, spreadsheets and presentation programs (Google and Microsoft platforms).

  • English advanced level (fluent).

EHS Responsibilities:

  • Comply with and enforce the legislation applicable to your activity and Imerys' internal standards and recommendations regarding the Environment, Workplace Safety and Occupational Health.

  • Disseminate and encourage the company's EHS Guidelines.

  • Participate in the execution of the Action Plans necessary to comply with the Security Policies and to meet the Legislation.

  • Support the Teams in the execution of Action Plans and improvements focused on Safety, Environment and Occupational Health.
